Summary:
- Manage and monitor the corporate governance practices, compliance and internal audit activities within the company and its subsidiaries by ensuring that robust and effective Corporate Governance and Compliance networks are in place and followed by all employees.

Key Responsibilities:
- Conduct a Maturity Assessment of the current Corporate Governance activities and practices to assess the current level of maturity and identify the gaps and areas of improvement in line with leading Corporate Governance Frameworks and develop a plan (short-term and in long-term) as well as implement the plan to reach the desired level of maturity.
- Develop and implement the Corporate Governance Framework and Manual, including the Code of Conduct, for the company and its subsidiaries in line with leading practices, and serve as the custodian for the same.
- Develop the Corporate Governance Guidelines that should be followed (e.g., Board of Directors size, composition, membership criteria, appointment, independence criteria, evaluation, retirement).
- Conduct periodic reviews of the Corporate Governance Framework to highlight any gaps or areas for improvement in line with leading practices, and changes in the regulatory or internal environment.
- Assist in the establishment of Service Level Agreements across all Divisions, Departments, and Functions within the company and its subsidiaries to improve transparency and accountability amongst employees.
- Facilitate the consistent application of the Corporate Governance Framework and Compliance across the company and its subsidiaries.
- Act as the Liaison Officer between the company / its subsidiaries and external regulatory / governmental entities.
- Quarterly Presentations of the results of the Compliance Framework reviews to the Audit Committee / Board of Directors.
- Develop a Compliance Framework for the company and its subsidiaries encompassing all applicable and relevant laws and regulations, along with a Compliance Reporting System which should include the following: Compliance Reports to the CEO for any non-compliances noted & Compliance Review Plan to conduct the compliance reviews accordingly.
- Assist in the periodic reviews of governance activities including analyzing existing policies and processes, delegation of authorities, recommending and implementing changes, documenting new policies and procedures to support compliance, continuous improvement and innovative best practice in governance.
- Act as the custodian of all policies and procedures within the company and its subsidiaries.
- Assist in the Organizational restructuring within the company and its subsidiaries.
- Establishes internal audit policies and procedures including the reporting templates for conducting and reporting audits in compliance with international standards and legal requirements.
- Establishes and communicates the scope and objectives for the audit to CEO and BOD.
- Draws up an annual audit plan covering all auditable areas of business in consultation with CEO and BOD based on risk assessments.
- Directs a broad and comprehensive audit of all sections of the business to ensure all resources are effectively, efficiently and economically managed.
- Identifies the key risks facing business activities within the defined scope of audit.
- Recommends an efficient and comprehensive program of internal control based on the audit findings.
- Oversees any outsourced internal audit activities as needed from time to time.
- Performs any other relevant task as directed by BoD and CEO
