Experience in development of frameworks, charters, policies and manuals relating to corporate governance in Banking Industry is mandatory.

Job Overview:

We are seeking a highly experienced and knowledgeable Corporate Governance Expert to join our organization with experience in Banking Industry. As the Corporate Governance Expert, you will be responsible for overseeing and ensuring the highest standards of corporate governance practices and compliance within our organization. You will provide strategic guidance, develop policies, and implement best practices to promote a culture of integrity, transparency, and accountability.

 

Responsibilities:

– Develop and implement corporate governance policies, procedures, and practices in line with local regulations, international standards, and best practices in the banking industry.

-Deep understanding of Basel III, SAMA , CMA regulations

– Ensure compliance with all relevant legislative requirements, regulatory guidelines, and corporate governance codes.

– Monitor and assess the effectiveness of the corporate governance framework and recommend improvements to senior management and the board of directors.

– Collaborate with various departments to develop and maintain a comprehensive enterprise-wide risk management program to identify, assess, and mitigate risks related to corporate governance.

– Conduct regular audits and evaluations to ensure compliance with corporate governance policies and identify any potential areas of improvement or non-compliance.

– Provide expert advice and guidance to the board of directors and senior management on matters relating to corporate governance, including ethical standards, board composition and structure, and board responsibilities.

– Stay updated on emerging corporate governance trends, regulations, and best practices and communicate relevant information to key stakeholders within the organization.

– Develop and deliver training programs and educational materials to enhance the understanding of corporate governance principles and practices among employees.

 

Requirements:

– Minimum 15 years of experience in a corporate governance or related role within the banking industry.

– Strong knowledge of local regulations, international standards, and best practices in corporate governance.

– In-depth understanding of the banking industry, including relevant regulations and risk management practices.

– Proven track record in implementing effective corporate governance frameworks and policies.

– Excellent analytical, problem-solving, and decision-making skills.

– Strong communication and interpersonal skills, with the ability to effectively communicate complex concepts to stakeholders at all levels.

– Proven ability to work collaboratively with cross-functional teams and influence key decision-makers.

– Attention to detail and a high level of integrity and ethical standards.

– Certified Corporate Governance Professional (CCGP) or equivalent certification is highly desirable.
